Terms of Service

These Terms of Service ("Terms") govern your access to and use of the software, mobile applications, websites, services and platforms provided by Jupsoft Technologies Pvt Ltd (“Jupsoft”, “we”, “us”, “our”).

By accessing or using our Services, you (“User”, “you”, “your” or your organization) agree to be bound by these Terms, our Privacy Policy, and any accompanying Service-Specific Terms. If you do not agree, please do not use or access the Services.

Definitions

  1. 1.1 “Services” means any software-as-a-service, mobile application, web portal, platform, module, API, or other offering provided by Jupsoft including student management, fee/payment, transport, library, LMS, admission portal, HR/Payroll modules, and related administrative/educational services.
  2. 1.2 “Institution” means any school, college, educational institution, enterprise or organization subscribing to or using our Services.
  3. 1.3 “Data Principal” means an individual whose personal data is processed (e.g., a student, parent, teacher, staff member).
  4. 1.4 “Data Fiduciary” means the entity (usually the Institution) which determines the purpose and means of processing personal data under the Digital Personal Data Protection Act 2023 (“DPDP Act”) and Rules 2025.
  5. 1.5 “Data Processor” means Jupsoft when processing personal data on behalf of the Institution.​
  6. 1.6 “Personal Data” has the meaning ascribed under the DPDP Act.​
  7. 1.7 “Child” refers to a Data Principal who is under 18 years of age.​

2. Role Clarification – Data Roles

  1. 2.1 When you (the Institution) engage our Services, you act as Data Fiduciary. You instruct Jupsoft to process Personal Data on your behalf.
  2. 2.2 Jupsoft acts as Data Processor, unless otherwise specified, processing Personal Data solely on your instructions, in compliance with these Terms, our Privacy Policy and the DPDP Act and Rules.
  3. 2.3 In case Jupsoft, by specific agreement, becomes a Data Fiduciary (for a particular Service or module), the relevant contract will so reflect and the responsibilities under the DPDP Act directly apply to Jupsoft.

3. Acceptance of Terms & Eligibility

  1. 3.1 By accessing or using the Services, you accept these Terms.​
  2. 3.2 Users must be of legal age to enter a binding contract in the applicable jurisdiction. If you are a Child, your use is permitted only under supervision and with verified parental/guardian consent.
  3. 3.3 If you represent an Institution, you confirm you have authority to bind the Institution to these Terms.

4. Scope of Services

  1. 4.1. Jupsoft provides the Services described in your subscription or service-agreement, which may include modules for student information, attendance, fees/payments, transport logistics, library, learning management (LMS), admission portal, HR/payroll, analytics, mobile apps, and web portals.
  2. 4.2. Services may evolve, be upgraded or enhanced; any additions or changes will be subject to these Terms unless otherwise stated in a separate Service-Specific Terms.

5. User & Institution Obligations

5.1. You (and your Users) agree to:
  • Provide true, accurate, current and complete information when signing up or using the Services;
  • Maintain and promptly update such information if it changes;
  • Use the Services only in compliance with applicable laws (including DPDP Act), these Terms, Service-Specific Terms, and our policies;
  • Not misuse the Services in ways that are unlawful, harmful, fraudulent, or infringing on others’ rights.
  • Collect Personal Data lawfully, obtain appropriate consent (especially for Children), and inform Data Principals of processing purposes;
  • Ensure accuracy of Personal Data shared with Jupsoft;
  • Manage and protect credentials and user accounts for their users;
  • Notify Jupsoft promptly of any unauthorized access or required legal compliance changes.

6. Data Protection & Privacy

  1. 6.1. Your use of our Services is governed by our Privacy Policy (found [link]) which explains how we collect, use, store, process, and share Personal Data, retention and deletion practices, Data Principal rights, security measures and breach notification obligations.
  2. 6.2. We implement appropriate technical and organisational measures including encryption, access control, audit logging, backup and disaster recovery to safeguard Personal Data.
  3. 6.3. We do not use Personal Data for advertising, profiling, resale or other purposes beyond what is agreed with the Institution and permitted by the DPDP Act.
  4. 6.4. If you are a Child or a guardian of a Child, you confirm that you have given consent where required and understand how your Child’s data will be processed.
  5. 6.5. Any request by a Data Principal to access, correct, delete their Personal Data or withdraw consent shall be handled by the Institution or Jupsoft in accordance with the DPDP Act and our Privacy Policy.

7. Data Retention, Deletion & Breach Notification

  1. 7.1. Data will be retained only for as long as reasonably required for the specified purpose, legal or audit obligations, or for the duration of your contractual relationship with the Institution.
  2. 7.2. Audit logs and processing records will be retained for a minimum of 1 year (or as prescribed under DPDP Rules) after termination or conclusion of the specific processing.
  3. 7.3. Upon termination of services, account closure or upon valid request, we will delete or anonymize Personal Data, unless legal obligations require otherwise.
  4. 7.4. In the event of a Personal Data breach, Jupsoft will promptly notify the Institution and/or Data Principals as required by the DPDP Act and Rules, provide details of the breach, potential risks, and corrective action.

8. Cross-Border Data Transfers

  1. 8.1. Unless otherwise agreed, data is stored and processed in servers located in India.
  2. 8.2. If any cross-border transfer of Personal Data occurs, it will be subject to applicable laws, institutional agreement, and adequate safeguards as required under DPDP Rules.

9. Intellectual Property

  1. 9.1. All intellectual property rights in the Services (software, modules, code, documentation, logos, trade-marks) belong to Jupsoft or its licensors.
  2. 9.2. You may not copy, modify, reverse-engineer, distribute or create derivative works from the Services without our prior written permission.
  3. 9.3. You retain ownership of your content (data you upload or create), subject to the rights granted to Jupsoft in your agreement (such as necessary access, storage and transmission for providing the Services).

10. Subscription, Fees & Payments

  1. 10.1. For paid services, you agree to pay the subscription or fee as agreed in your service contract.
  2. 10.2. Jupsoft may increase fees for subsequent renewal periods; you will be notified in advance and given the option to decline renewal.
  3. 10.3. Non-payment may lead to suspension or termination of Services. Refunds, if any, will be governed by the service contract.

11. Suspension, Termination & Data Portability

  1. 11.1. Jupsoft may suspend or terminate access to the Services if you breach these Terms, misuse the Services, commit illegal activity, or on notice from the Institution or required by law.
  2. 11.2. Upon termination, Jupsoft will provide you or your Institution access to export your data (e.g., CSV/JSON) within an agreed period, unless prohibited by law.
  3. 11.3. Termination will result in the deletion or anonymisation of your Personal Data, subject to retention policies and legal obligations.

12. Limitation of Liability & Indemnity

  1. 12.1. To the maximum extent permitted under law, Jupsoft’s liability to you or your Institution for any claim arising under these Terms shall be limited to the total fees paid by you to Jupsoft for the applicable Service in the 12 months preceding the claim.
  2. 12.2. Jupsoft shall not be liable for indirect, incidental, consequential or punitive damages (including loss of profits, business interruption, loss of data) even if advised of the possibility.
  3. 12.3. You agree to indemnify and hold harmless Jupsoft, its officers, employees, agents and affiliates from any liability, loss, cost or expense arising from (i) your misuse of the Services; (ii) your breach of these Terms; (iii) your violation of law or third-party rights.

13. Communication & Notices

  1. 13.1. Jupsoft may send you service announcements, administrative messages or updates. Service announcements are considered part of the Services; you may opt-out of promotional communications but not service-critical notices.
  2. 13.2. Notices under these Terms shall be in writing and delivered via email or posted on our website/app; they are effective when sent.

14. Changes to Terms

  1. 14.1. We may modify these Terms from time to time (including to comply with legal or regulatory changes such as under the DPDP Act).
  2. 14.2. If changes materially affect your rights, we will provide at least 30 days’ prior notice. Continued use of the Services after the effective date of such changes indicates your acceptance.
  3. 14.3. If you do not accept the modified Terms, you may terminate use and your applicable Institution contract, subject to applicable obligations.

15. Governing Law & Dispute Resolution

  1. 15.1. These Terms are governed by the laws of the Republic of India.
  2. 15.2. Any dispute arising out of or relating to these Terms shall be subject to arbitration under the Indian Arbitration and Conciliation Act 1996, with seat of arbitration at Noida (Uttar Pradesh), India. Each party shall bear its own costs, unless the arbitrator orders otherwise.
  3. 15.3. Notwithstanding the above, Jupsoft may seek interim or injunctive relief from any court of competent jurisdiction in Noida, India.

16. Entire Agreement

  1. 16.1. These Terms, together with the Privacy Policy, Service-Specific Terms and your subscription/service agreement constitute the entire agreement between you and Jupsoft concerning the Services and supersede all prior or contemporaneous understandings, communications or agreements, whether written or oral.
